Thank you for visiting Nova Roma. These Terms of Use (“Terms”) govern your access to and use of the websites, content, and online services operated by Nova Roma Horizon Innovation Society (“Nova Roma”, “we”, “us”, or “our”), unless a separate written agreement says otherwise.

By accessing or using our Services (our websites, digital content, registration or contact forms, newsletters, and any other online offerings we provide under the Nova Roma name), you agree to these Terms. If you do not agree, do not use the Services.

We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date in the front matter when we do. Material changes may also be announced by reasonable means (for example, a notice on our site or by email where we have your address). Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

Definitions

  • “You” means the individual or organization accessing or using the Services.
  • “Content” means text, images, video, audio, software, and other materials made available through the Services.

Eligibility and accounts

You must have the legal capacity to enter a binding agreement in your place of residence. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

Where we offer accounts, registrations, or profiles, you agree to provide accurate information and to keep credentials confidential. You are responsible for activity under your account. Notify us promptly at hello@novaromahorizon.org if you suspect unauthorized access.

Acceptable use

You agree not to:

  • Use the Services in violation of applicable law, including the laws of Canada and the Province of Ontario.
  • Harass, threaten, defame, or discriminate against others, or otherwise violate our Code of conduct.
  • Attempt to gain unauthorized access to our systems, other users’ data, or third-party systems through the Services.
  • Distribute malware, overload or disrupt the Services, or circumvent security measures.
  • Scrape, harvest, or automate access to the Services in a way that impairs performance or violates our technical policies, except as allowed by public search engines for public pages or as we expressly permit in writing.
  • Use the Services to send unsolicited bulk communications without lawful consent.

We may suspend or terminate access where we reasonably believe these Terms or applicable law have been violated.

Intellectual property

The Services and their Content (excluding user-submitted materials you own) are owned by Nova Roma or our licensors and are protected by copyright, trademark, and other intellectual property laws in Canada and elsewhere. You receive a limited, non-exclusive, non-transferable licence to access and use the Services for personal or internal organizational purposes aligned with Nova Roma’s mission.

You retain ownership of content you submit through forms or other features we provide. By submitting content, you grant Nova Roma a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, display, and distribute that content as reasonably necessary to operate, promote, and improve the Services and our programs, subject to our Privacy notice.

Our name, logos, and branding may not be used without prior written permission except as allowed by law (for example, fair dealing for news or commentary).

The Services may link to third-party websites or tools. We do not control those services and are not responsible for their content or practices. Your use of third-party services is at your own risk and subject to their terms.

Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by applicable law.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. Information on the Services is for general information; it is not legal, financial, or professional advice.

Some jurisdictions do not allow certain disclaimers; in those cases, disclaimers apply only to the extent permitted by law.

Limitation of liability

To the fullest extent permitted by the laws of the Province of Ontario and Canada, Nova Roma and our directors, officers, employees, volunteers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business opportunities, arising from or related to your use of the Services or these Terms, whether in contract, tort (including negligence), or otherwise, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claims arising from or related to the Services or these Terms is limited to the greater of (a) fifty Canadian dollars (CAD $50) or (b) the amounts you paid to Nova Roma specifically for the Services giving rise to the claim in the twelve (12) months before the claim arose. If you paid nothing, the cap is CAD $50.

These limitations do not apply where prohibited by law, including where liability cannot be excluded for gross negligence, fraud, or death or personal injury caused by negligence, to the extent such exclusions are void.

Indemnity

You agree to indemnify and hold harmless Nova Roma and our directors, officers, employees, volunteers, and agents from claims, losses, damages, and expenses (including reasonable legal fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law, except to the extent caused by our gross negligence or wilful misconduct.

Privacy

Our collection and use of personal information is described in our Privacy notice, which forms part of these Terms.

Governing law and venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. You agree that the courts of Ontario, Canada, have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services, subject to mandatory consumer protections or other non-waivable rights you may have under the laws of your place of residence.

General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. These Terms constitute the entire agreement between you and Nova Roma regarding the Services and supersede prior understandings on the same subject.
